1. Service Scope

Welcome to DaleyDai.com ("Platform"). These Terms and Conditions ("Terms") govern your access to and use of our mobile application, website, and matching platform. DaleyDai.com is an AI-driven rental concierge system that facilitates direct contact between bhadawals ("Bhadawals") and landlords ("Owners") in Nepal.

By using the Platform, you acknowledge that DaleyDai.com is not a real estate broker, agency, or landlord representative. We provide listing verification, AI-powered matchmaking, and secure booking escrow, but we do not own, manage, or legally lease the properties listed on the Platform.

2. User Roles & Accounts

Users can sign up and switch between two primary roles within their settings:

• Bhadawal (Bhadawal): Accesses search tools, chats with the AI Concierge, requests verified coordinates, and submits Baina advances to lock listings.
• Landlord (Owner): Publishes room, flat, or apartment listings, uploads ownership documents, executes GPS verification checks, and accepts booking advances.

You agree to provide true, accurate, and current profile and KYC information, including verifying your primary mobile phone number which acts as the legal transaction handle in Nepal.

3. Coordinate & Owner Verification

To ensure high integrity on the Platform, DaleyDai.com enforces mandatory listing validation rules:

1. 1-Tap GPS Verification: Landlords must stand physically inside or directly next to the flat when performing the 1-tap coordinate check. Artificially spoofing coordinates or submitting check-ins from remote locations will result in listing removal.
2. Ownership Documentation (Lalpurja): Landlords must upload a clear photo of the Land Ownership Certificate (Lalpurja) corresponding to the listing. The name on the Lalpurja must match the verified user profile, or the landlord must provide valid authorization (e.g., family relationship or power of attorney).

4. Baina Escrow & Refunds

To lock a property and remove it from active search listings, Bhadawals pay an earnest money advance ("Baina") through the Platform. DaleyDai.com holds the Baina securely in an escrow-like account until a physical viewing takes place or a formal lease is agreed upon.

DaleyDai.com will investigate coordinate logs, chat records, and verification statuses to make a binding final decision regarding Baina disputes.

5. Digital Payment Compliance

All digital payments, including Baina deposits, must be made using licensed Payment Service Providers (PSPs) in Nepal, such as eSewa, Khalti, or direct bank transfer integrations. All transactions are subject to the transaction limits, KYC requirements, and anti-money laundering (AML) guidelines set by **Nepal Rastra Bank**.

6. Prohibited Practices

Users are strictly prohibited from engaging in the following behaviors. Violation will lead to immediate account suspension:

• Posting duplicate listings with different prices to manipulate the rental market.
• Circumventing DaleyDai's chat gating limits or requesting payments outside the platform's escrow system to avoid transaction safety measures.
• Conducting calls or harassment prior to building a mutual chat session (which serves as spam protection for homeowners).
• Uploading illegal, offensive, or fraudulent property listings.
• Uploading any photo or video carrying a phone number, watermark, logo, business name, or contact detail that is not your own, or that belongs to another agency, brokerage, portal, website, or person.
• Uploading any photo or video that you did not create, or that you do not hold the rights to publish, including media copied from another listing, another portal, or a social media account.
• Placing inside uploaded media any contact detail, price, claim, or statement that is false, out of date, or misleading.

7. Limitation of Liability

DaleyDai.com provides matching and verification algorithms but is not responsible for:

• Any physical disputes, verbal/physical abuse, or safety issues arising during offline viewings or tenancies.
• The physical condition of the rental flats or any damage caused to the landlord's property by bhadawals.
• Loss of personal items or non-compliance with local lease agreements between Landlords and Bhadawals.
• Any phone number, watermark, logo, trade name, brand mark, or other contact or identifying information that a User has placed inside a photo or video they upload. Such media is created, branded, and submitted by the User, and DaleyDai.com neither adds, edits, verifies, endorses, nor removes what appears inside it.
• The accuracy, ownership, or lawfulness of any such embedded information, and anything that follows from any person seeing it or acting upon it.
• Any call, message, visit, payment, negotiation, or agreement that arises from a person contacting a number or address shown inside uploaded media instead of through DaleyDai.com. Contact made outside the platform falls outside the platform's verification, records, escrow, and protections, and is undertaken by the parties at their own risk.

8. Uploaded Media — Ownership and Responsibility

This section applies to every photo, video, image, floor plan, and document a User uploads to DaleyDai.com (together, "Uploaded Media"), including media that already carries the User's own watermark, logo, branding, or telephone number when it is uploaded.

8.1 The User is the author and the publisher. Uploaded Media is created and submitted by the User. DaleyDai.com hosts and displays it as a service to the User and does not author, commission, edit, or approve its contents. Where a User is a broker, an agency, or a member or employee of an agency, the media is uploaded on that agency's behalf and the agency is bound by this section together with the individual who uploaded it.

8.2 The User warrants ownership and rights. By uploading, the User represents and warrants that they own the Uploaded Media or hold every right and licence necessary to publish it; that any watermark, logo, brand mark, trade name, or telephone number appearing within it belongs to them or is used with the owner's permission; that it does not infringe any copyright, trademark, privacy, publicity, or other right of any third party; and that it depicts the property it is presented as depicting.

8.3 Sole responsibility rests with the User. The User who uploads media is solely and exclusively responsible for it and for everything within it. This includes any consequence of a telephone number or contact detail being visible to the public, any claim by a third party whose photograph, property, branding, or trademark appears in it, and any loss suffered by any person who relies on it.

8.4 Indemnity. The User shall indemnify, defend, and hold harmless DaleyDai.com, its owning company, and its directors, officers, employees, and agents against any claim, demand, proceeding, penalty, loss, damage, or cost (including reasonable legal fees) brought by any third party and arising out of or connected with that User's Uploaded Media — including claims of copyright or trademark infringement, misuse of a brand or watermark, breach of privacy or data protection, misleading advertising, or unsolicited contact resulting from a telephone number shown within the media. This obligation survives the closure of the User's account.

8.5 No obligation to screen; no endorsement. DaleyDai.com may, but is not obliged to, review Uploaded Media. Any automated or manual check performed is a limited service-quality measure for the platform's own purposes; it is not a verification of ownership, accuracy, or lawfulness, and it creates no duty of care and no liability toward the User or any third party. The presence of a watermark, logo, or telephone number within media is not an endorsement of, or a statement about, the person or business it names.

8.6 Removal and suspension. DaleyDai.com may remove, hide, or refuse any Uploaded Media, and may suspend or terminate an account, at its discretion and without prior notice, where media appears to breach this section, a third party objects to it, or a competent authority requires it. Exercising this right, or declining to exercise it, does not transfer any responsibility for the media to DaleyDai.com.

8.7 Complaints. A person who believes Uploaded Media infringes their rights may write to the address in the Contact section. Any resulting dispute is between that person and the User who uploaded the media; DaleyDai.com's role is limited to removing the media where appropriate.

9. Disputes & Governing Law

These Terms shall be governed by, construed, and enforced in accordance with the laws of Nepal, specifically the Muluki Dewani Samhita, 2074 (Civil Code of Nepal). Any disputes arising between the user and DaleyDai.com that cannot be resolved through mutual mediation shall be subject to the exclusive jurisdiction of the Kathmandu District Court, Kathmandu, Nepal.
